Shipping is worldwide by tracked, insured Canada Post service; delivery dates are estimates and are not guaranteed. 1. About These Terms
1.1 These Terms and Conditions govern the sale of goods by Ariadne Leather through the Website and your use of the Website.
1.2 Ariadne Leather is a sole proprietorship carrying on business in Delta, British Columbia, Canada.
1.3 These Terms should be read together with our Privacy Policy and our Returns and Warranty Policy, each of which forms part of these Terms.
2. Definitions
2.1 In these Terms:
- “Ariadne Leather”, “we”, “us” and “our” mean Ariadne Leather, a sole proprietorship carrying on business in Delta, British Columbia, Canada.
- “Goods” means the products offered for sale through the Website, including Commissioned Goods.
- “Commissioned Goods” means Goods made to a specification agreed between you and us under clause 11.
- “Order” means an offer submitted by you to purchase Goods.
- “Website” means ariadneleather.ca and its subdomains.
- “you” and “your” mean the person accessing the Website or placing an Order.
3. Eligibility and Acceptance
3.1 By accessing the Website or placing an Order, you confirm that you are of legal age to form a binding contract in your jurisdiction and that you accept these Terms.
3.2 If you do not accept these Terms, you must not use the Website or place an Order.
4. Goods and Handmade Variation
4.1 All Goods are cut, stitched and finished by hand from full-grain vegetable-tanned leather.
4.2 Leather is a natural material. Grain, colour, thickness and surface markings vary between hides and between individual items, and Goods supplied will not correspond exactly to photographs displayed on the Website. Vegetable-tanned leather darkens and develops a patina on exposure to light and with use.
4.3 The variation and ageing described in clause 4.2 are inherent properties of the material, do not constitute a defect, and are excluded from the warranty. Structural defects are covered in accordance with clause 10.
4.4 Product descriptions, dimensions and weights are provided in good faith and are approximate.
5. Prices, Currency and Taxes
5.1 Prices displayed on the Website are stated in Canadian dollars (CAD).
5.2 Prices are exclusive of shipping charges and of any taxes, which are calculated and displayed at checkout.
5.3 Prices may be changed at any time. The price applicable to an Order is the price displayed at the time the Order is submitted.
5.4 Stock is limited and, in many cases, a single item. Placing Goods in a cart does not reserve them.
6. Orders and Formation of Contract
6.1 The display of Goods on the Website is an invitation to treat and does not constitute an offer to sell.
6.2 Submission of an Order constitutes an offer by you to purchase the Goods subject to these Terms.
6.3 A contract is formed only when the Goods are dispatched. Acknowledgement of an Order and the taking of payment do not constitute acceptance.
6.4 We may decline or cancel an Order at any time before dispatch, including where the Goods are no longer available, where suitable material cannot be obtained, or where a price or description was published in error. Where an Order is cancelled under this clause, payment is refunded in full. This is the sole circumstance in which a refund is issued; see clause 10.
7. Shipping and Delivery
7.1 We ship worldwide by Canada Post. Shipping rates are calculated at checkout.
7.2 The following services are offered, in each case with tracking and insurance:
- Priority Worldwide — average transit 2 to 3 business days;
- Xpresspost Worldwide — average transit 6 to 13 business days.
7.3 Transit times stated in clause 7.2 are averages published by the carrier. Delivery dates are estimates and are not guaranteed. Transit times vary with distance, customs processing, weather and carrier volume.
7.4 We are not liable for delay arising from carrier performance, customs inspection, industrial action, public holidays or other circumstances beyond our reasonable control. See also clause 18.
7.5 You are responsible for the accuracy of the delivery address supplied. Goods dispatched to an address supplied incorrectly cannot be recovered and will not be replaced or refunded.
8. Customs, Duties and Import Charges
8.1 For deliveries outside Canada, any customs duties, import taxes, brokerage fees or similar charges are determined by the destination country and are payable by the recipient. Such charges are not included in the price of the Goods or in the shipping charge.
8.2 Where a parcel is refused, unclaimed or abandoned at customs, the Order is not refunded and any costs incurred in return or disposal are payable by you.
9. Risk of Loss and Lost Parcels
9.1 Risk in the Goods passes to you on delivery by the carrier.
9.2 Where a parcel is lost in transit, we will replace the Goods free of charge provided that each of the following is satisfied:
- the parcel was dispatched with tracking and insurance;
- the purchase can be verified;
- the delivery address supplied was correct; and
- carrier tracking does not record the parcel as delivered.
9.3 Goods that are lost or stolen after delivery has been recorded by the carrier, and Goods dispatched to an incorrectly supplied address, are not replaced or refunded.
10. Returns, Refunds and Warranty
10.1 Refunds are not offered. Each item is instead covered by a lifetime warranty under which defective Goods are repaired or replaced free of charge for so long as you own them.
10.2 The scope of the warranty, the exclusions from it, the claims procedure and the allocation of shipping costs are set out in the Returns and Warranty Policy, which forms part of these Terms.
10.3 The exceptions to clause 10.1 are those stated at clause 6.4 of these Terms and at clause 6 of the Returns and Warranty Policy.
11. Custom Commissions
11.1 We accept commissions for Goods made to a customer specification. Enquiries should be submitted by email under clause 22.
11.2 No contract for Commissioned Goods arises until the specification and price have been agreed in writing between you and us.
11.3 Goods are made by one person working limited hours from limited stock. Estimated completion times will be provided when a specification is agreed and are estimates only.
11.4 Commissioned Goods carry the same warranty as Goods offered for general sale.
12. Reviews and User Content
12.1 Reviews and comments submitted through the Website are moderated before publication.
12.2 We may decline to publish, or may remove, content that is unlawful, abusive, fraudulent, misleading, unrelated to the Goods, or submitted for the purpose of advertising.
12.3 By submitting content you grant us a non-exclusive, royalty-free licence to reproduce and display it on the Website in connection with the Goods, and you confirm that you are entitled to grant that licence.
13. Intellectual Property
13.1 All photographs, text, designs, patterns, trade marks and the Ariadne Leather name and logo appearing on the Website are owned by Ariadne Leather and are protected by applicable intellectual property laws.
13.2 No licence is granted to reproduce that material for commercial purposes, or to use it to represent goods not made by us.
13.3 Personal, non-commercial sharing of photographs of Goods you have purchased, with attribution, is permitted and welcomed.
14. Acceptable Use
14.1 You must not use the Website for any unlawful purpose, attempt to gain unauthorised access to it, interfere with its operation, or extract data from it by automated means without our written consent.
15. Disclaimers
15.1 The Website is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted or free of error.
15.2 Certain Goods are made to carry edged tools. A sheath is a carrying device and is not personal protective equipment. Edged tools must be handled with appropriate care and kept out of the reach of children.
15.3 Nothing in these Terms excludes or limits any statutory warranty, condition or right that cannot lawfully be excluded or limited, including under applicable Canadian consumer protection legislation.
16. Limitation of Liability
16.1 Subject to clause 15.3, our total aggregate liability arising out of or in connection with an Order, whether in contract, tort, statute or otherwise, is limited to the amount paid by you for the Goods giving rise to the claim.
16.2 Subject to clause 15.3, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or opportunity, howsoever arising.
17. Indemnity
17.1 You agree to indemnify us against any claim, loss or expense arising from your breach of these Terms, your misuse of the Website, or your infringement of the rights of any third party.
18. Events Beyond Our Control
18.1 We are not liable for any failure or delay in performing our obligations where that failure or delay results from an event beyond our reasonable control, including carrier failure, industrial action, customs action, interruption of utilities or communications, illness, fire, flood, severe weather, epidemic or act of government.
19. General Provisions
19.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remaining provisions continue in force.
19.2 Waiver. A failure or delay in enforcing any provision of these Terms does not constitute a waiver of it.
19.3 Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights on a transfer of the business.
19.4 Entire agreement. These Terms, together with the Privacy Policy and the Returns and Warranty Policy, constitute the entire agreement between you and us in respect of an Order and supersede any prior representation or understanding.
20. Governing Law and Jurisdiction
20.1 These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
20.2 The courts of British Columbia have jurisdiction over any dispute arising out of or in connection with these Terms, subject to any non-excludable right you may have to bring proceedings in your place of residence.
21. Amendments
21.1 These Terms may be amended from time to time. The version posted on the Website at the time an Order is submitted governs that Order.
